OVERVIEW AND DEFINITIONS

These Terms and Conditions ("Terms") govern your use of the STEP 22 Gear website, related online services, and purchases from STEP 22 Gear. In these Terms, "STEP 22," "we," "us," and "our" refer to STEP 22 Gear.

"Website" includes www.step22gear.com, www.step22.com, and any STEP 22-branded online storefront, checkout experience, return portal, application, or social-commerce channel operated for STEP 22, including associated sales channels on platforms such as Facebook, Instagram, and Google. "Services" means the Website and the related features, content, communications, and services made available through it. "Products" means products offered or sold through the Services.

These Terms govern your access to and use of the Services and the purchase and sale of Products through the Services. By accessing or using the Services, creating an account, or placing an order, you agree to these Terms and to the policies and terms incorporated into them by reference. If you do not agree, do not use the Services or purchase Products through them.

You must be at least 18 years old to use the Services or place an order, or you must use the Services only with the involvement and permission of a parent or legal guardian who agrees to these Terms on your behalf.

INTELLECTUAL PROPERTY

All content included on the Website, including text, graphics, logos, button icons, product names, product designs, images, videos, audio clips, downloads, data compilations, and software, is owned by or licensed to STEP 22 or its suppliers and is protected by United States and international copyright, trademark, patent, trade dress, and other intellectual-property laws.

All trademarks, service marks, trade names, logos, and other brand identifiers displayed on the Website are owned by STEP 22 or their respective owners. The appearance of a third-party mark does not imply affiliation with, endorsement by, or sponsorship of STEP 22 unless expressly stated.

Except as expressly authorized in writing by STEP 22, you may not reproduce, copy, modify, publish, upload, post, transmit, distribute, sell, license, create derivative works from, or commercially exploit any portion of the Website or its content. No right, title, or interest in the Website or its content is transferred to you by your use of the Services.

PATENT AND TRADEMARK INFORMATION

Many Products sold by STEP 22 are covered by one or more United States patents. The 11" Jack Cover is covered by U.S. Patent No. D767,848. The 15" Jack Cover is covered by U.S. Patent No. D789,645. Silent Jack is covered by U.S. Patent Nos. D915,723, D917,125, and D915,719. All versions of the Stingray Flat Box are covered by U.S. Patent No. 11,751,648. The Pangolin Tool Roll, Pangolin Tool Roll Mini, and Hedgehog Toiletry Roll are covered by U.S. Patent No. 11,717,068. All REEF® Products are covered by U.S. Patent No. 11,627,789. The Trash Panda Trail Pack™ is covered by U.S. Patent No. 11,752,949.

Other Products may be covered by additional United States or international patents or patent applications. Please refer to Product packaging and other STEP 22 notices for additional patent information.

ORDER PROCESSING, ACCEPTANCE, AND PURCHASE TERMS

By placing an order, you represent that the information you provide is accurate and that you are authorized to use the selected payment method.

Your submission of an order is an offer to purchase the Products identified in the order. An electronic order confirmation acknowledges receipt of your order but does not by itself constitute acceptance of the order or confirmation of an offer to sell. STEP 22 may accept, decline, cancel, verify, or limit an order for any lawful reason, including Product availability, suspected fraud, payment or address verification, unauthorized resale, geographic restrictions, pricing or listing errors, or order quantity.

Payment may be authorized or charged when an order is placed. If an order is declined or canceled after payment has been collected, STEP 22 will issue the applicable refund. Unless STEP 22 expressly confirms acceptance earlier, an order is accepted when the Products are shipped.

STEP 22 may require additional information or verification before accepting or fulfilling an order. We may limit quantities, supply less than the quantity ordered, or cancel all or part of an order and adjust the amount charged or refunded accordingly. Orders do not necessarily ship on the day they are placed. If delivery timing is important, contact STEP 22 before placing the order.

By placing an order, you agree to receive transaction-related electronic communications, including order confirmations, payment or verification notices, shipping confirmations, delivery notices, return or claim communications, and Product information necessary for use, safety, recall, or warranty purposes. Transactional communications are separate from marketing communications. STEP 22 may also send review or feedback requests where permitted by law; applicable opt-out options will be provided.

To the fullest extent permitted by applicable law, by placing an order through the Website you agree to release and hold harmless STEP 22 and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or otherwise, as a result of your acceptance, possession, use, or misuse of a Product or service purchased through the Website. Nothing in this paragraph limits an express obligation under the STEP 22 Limited Warranty or any liability or consumer right that cannot lawfully be excluded, limited, or waived.

PERSONAL USE; UNAUTHORIZED RESALE AND PROXY PURCHASING

Products ordered through the Website are for the personal use of the individual placing the order unless STEP 22 has approved another use in writing. Resale, redistribution, marketplace fulfillment, or other commercial exploitation of Products purchased through the Website is prohibited.

STEP 22 investigates unauthorized resale and distribution and may cancel or refuse orders that appear to be intended for unauthorized resale, redistribution, or commercial exploitation, including high-volume or suspicious orders. Any refund resulting from a canceled order will be handled under the STEP 22 Shipping, Returns & Claims Policy and applicable law.

STEP 22 does not authorize any person or entity to purchase Products from the Website or from an authorized reseller on behalf of a third party for resale, redistribution, marketplace fulfillment, or commercial exploitation. Prohibited activity includes purchases made by or through:

• Proxy purchasing programs;
• Automated systems, bots, or scripts;
• Third-party "shopping" or "buy-for-me" services;
• Marketplaces or marketplace operators; or
• Any person or entity acting as an agent or intermediary for another purchaser.

STEP 22 does not authorize any third party, including Amazon, Walmart, eBay, or a similar platform, to purchase Products on behalf of customers or to offer Products through an unauthorized proxy-purchasing, fulfillment, or marketplace-resale program.

Any attempt to purchase Products in violation of this section is a breach of these Terms and may constitute unauthorized access to the Website or its systems. STEP 22 may cancel or refuse an order, block or restrict access, void a transaction, refuse future service, and pursue available legal remedies.

Activity that causes or induces an authorized reseller to unknowingly violate its distribution or resale agreement with STEP 22, including purchases through a reseller's website for marketplace resale or proxy fulfillment, is prohibited and may constitute tortious interference with contractual relations.

PAYMENT TERMS

STEP 22 accepts major credit cards and other payment methods displayed at checkout, which may include Apple Pay, Google Pay, and Shop Pay. You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method; (iii) charges incurred by you will be honored by the applicable payment provider; and (iv) you will pay all amounts due at the posted prices, including applicable taxes and charges.

All payments must be made in United States currency unless the Website expressly displays and accepts another currency. Current billing, shipping, email, and telephone information must be provided with each order.

You agree to pay interest on past-due sums at the highest rate permitted by law. STEP 22 retains a security interest in the Products and their proceeds until the full purchase price, taxes, and additional charges have been paid. Payment must be received before order acceptance unless STEP 22 agrees otherwise in writing.

Prices, Product availability, promotions, taxes, shipping charges, and other amounts are subject to change. The price and terms displayed and accepted when an order is submitted will generally apply to that order, subject to correction of errors, order verification, and STEP 22's right to decline or cancel the order under these Terms.

PRODUCT INFORMATION, DISPLAY, AVAILABILITY, AND ACCOUNT ACCURACY

STEP 22 makes reasonable efforts to present Product descriptions, photographs, colors, dimensions, specifications, and availability accurately. Colors and appearance may vary based on lighting, photography, screen settings, devices, materials, and production runs. Dimensions and specifications may be approximate and are subject to reasonable manufacturing tolerances. Non-material variations of this kind, standing alone, are not manufacturing defects.

Textile goods and other Products may have minor variations in color, texture, stitching, hardware, finish, or construction that do not materially affect intended function. STEP 22 may make non-material changes to Products, materials, hardware, packaging, or specifications without notice. Product-specific written descriptions, warnings, restrictions, and instructions in effect at the time of purchase remain part of the transaction.

Products and services may be offered in limited quantities and may be modified, limited, or discontinued at any time. STEP 22 may limit sales or quantities by person, household, account, payment method, address, geographic area, or jurisdiction. Any offer is void where prohibited.

You agree to provide current, complete, and accurate account, billing, shipping, payment, email, and telephone information. You are responsible for reviewing your order confirmation and promptly notifying STEP 22 of an error before shipment. STEP 22 cannot guarantee that an order, address, or delivery method can be changed after an order is submitted or begins processing.

ACCEPTANCE OF ADDITIONAL POLICIES

By accessing or using the Services, placing an order, or engaging with any STEP 22 service, you agree to the additional policies, terms, disclosures, instructions, and restrictions presented through the Website or in connection with a Product or service. These include the STEP 22 Shipping, Returns & Claims Policy, Privacy Policy, Limited Warranty, Product-specific notices and instructions, and any terms presented at checkout or during a return, exchange, claim, promotion, or program.

These additional policies and terms are incorporated into these Terms by reference. You should review them carefully before using the applicable service or completing a transaction.

THIRD-PARTY TOOLS, SERVICES, AND LINKS

The Services may use, integrate with, or provide access to third-party tools, platforms, payment processors, shipping carriers, return and claim providers, review systems, rewards services, analytics tools, applications, content, products, or websites. Third-party services may be governed by separate terms and privacy policies.

Except where STEP 22 expressly undertakes responsibility in these Terms or another STEP 22 policy, STEP 22 does not control an unaffiliated third party's content, terms, availability, security, performance, privacy practices, or decisions. A link or integration does not by itself constitute STEP 22's endorsement of the third party.

You are responsible for reviewing and complying with the terms that apply to a third-party service before using it. Questions or disputes concerning a third party's own product, service, or decision should be directed to that third party, while matters that STEP 22 has expressly agreed to handle remain subject to the applicable STEP 22 policy.

Any new features, tools, or services later made available through the Website will also be subject to these Terms and any additional terms presented with them.

SHIPPING AND DELIVERY

STEP 22 ships within the United States and U.S. territories and to select international destinations. STEP 22 does not ship to every international location.

Risk of loss and title for merchandise pass to the customer when the shipment is tendered to the carrier, subject to any Checkout+ protection selected and purchased for the order and any rights that cannot be waived under applicable law.

International shipments may be subject to customs duties, taxes, brokerage charges, import fees, or similar charges imposed by the destination country. Those charges are the recipient's responsibility. The full shipping, delivery, return, exchange, and claim rules are stated in the STEP 22 Shipping, Returns & Claims Policy.

CHECKOUT+ RETURN SHIPPING AND PACKAGE PROTECTION

Checkout+ may be displayed at checkout as "Free returns and package protection." In that description, "free returns" means that the cost of a prepaid return shipping label issued through the STEP 22 Return & Claims Portal is covered for an otherwise eligible return or exchange. The 10% restocking fee, original-shipping rules, return requirements, and other applicable terms still apply. Checkout+ applies only when it is selected and paid for with the original order. Risk of loss and title pass to the customer when the shipment is tendered to the carrier.

By selecting and purchasing Checkout+ and accepting these Terms, you also acknowledge and accept the Redo Privacy Policy and agree to be bound by the Redo Terms and Conditions and the Shipsurance Coverage Terms for the Redo Insurance Program, in each case to the extent applicable to you. Those third-party terms and policies are incorporated into the Checkout+ purchase by reference.

If Checkout+ is declined, the customer assumes the risk of loss, theft, or damage occurring after the shipment is tendered to the carrier. Customers who decline Checkout+ may still return or exchange an otherwise eligible Product, but they are responsible for arranging and paying for the return shipment. Checkout+ is not required when STEP 22 sent the wrong Product or for a valid manufacturing or workmanship defect covered by the applicable STEP 22 Limited Warranty or manufacturer warranty.

If Checkout+ is selected and purchased, it provides a prepaid return shipping label issued through the STEP 22 Return & Claims Portal for an otherwise eligible return or exchange, along with package protection for qualifying shipments that are lost, stolen, or damaged during shipping. Approved package-protection claims are resolved by replacement only and are not eligible for a refund.

All returns, exchanges, and package-protection claims must be submitted through the STEP 22 Return & Claims Portal and are subject to review, applicable submission deadlines, supporting-information requirements, and the STEP 22 Shipping, Returns & Claims Policy.

Claims for lost or stolen shipments must be filed through the portal within 48 hours after the customer realizes that the package is lost or stolen.

Package-protection coverage is subject to the eligibility requirements, exclusions, limits, conditions, and claim requirements in the Shipsurance Coverage Terms. The right to purchase or continue purchasing package-protection coverage is not guaranteed. Shipsurance may prohibit a customer from purchasing coverage for reasons including fraud, misrepresentation, failure to follow coverage rules, abusive or threatening behavior or language, or loss history. Shipsurance states that it will provide 10 days' notice if it determines that a customer is ineligible for future coverage.

By purchasing Checkout+, you certify that all information provided is accurate and truthful. False, fictitious, or fraudulent statements or claims may result in denial of coverage or a claim, loss of eligibility to purchase future coverage, and civil or criminal penalties under applicable law.

Checkout+ does not extend a return or claim deadline, make a used or otherwise ineligible Product returnable, make a final-sale Product returnable, waive a restocking fee or other applicable deduction, make original shipping charges refundable, or guarantee approval of a return, exchange, or package-protection claim.

If STEP 22 successfully cancels an entire order before shipment, the resulting full refund will include the Checkout+ charge.

SALES TAX

The Website charges sales tax when required based on the applicable tax rules and the location to which an order is shipped. You are responsible for any tax, duty, assessment, or similar charge that is not collected by STEP 22 but is imposed on the transaction by an applicable authority.

CUSTOMER CONTENT, REVIEWS, FEEDBACK, AND SUBMISSIONS

Public and Promotional Submissions. If you voluntarily submit or make available a review, testimonial, comment, photograph, video, contest entry, social-media content, or other material for publication, promotion, or community use—including by submitting it through a review, contest, or promotional form, sending it directly to STEP 22 for that purpose, or tagging STEP 22 in a context that reasonably invites resharing—you retain ownership of your content but grant STEP 22 a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, edit, adapt, publish, translate, distribute, display, perform, and create derivative works from that content in any media for STEP 22's business, promotional, advertising, and community purposes.

Unless STEP 22 agrees otherwise in writing, STEP 22 has no obligation to use a submission, keep it confidential, compensate you for it, or respond to it. You represent that you own or control the submitted content or otherwise have all rights and permissions needed to submit it and grant the license above. Your content must be accurate, must not infringe or violate another person's intellectual-property, privacy, publicity, contractual, or other rights, and must not contain unlawful, defamatory, threatening, abusive, obscene, deceptive, or malicious material.

STEP 22 may, but is not required to, monitor, edit, refuse, or remove customer content that violates these Terms or is otherwise objectionable. You remain responsible for the content you submit.

Unsolicited Ideas. Creative ideas, Product suggestions, proposals, concepts, plans, or other unsolicited materials submitted to STEP 22 are not accepted in confidence and do not create an obligation to compensate or enter into an agreement with you. Do not submit an idea if you expect it to remain confidential or to create ownership, payment, or other obligations beyond those expressly agreed to in writing.

Operational and Claim Materials. Materials submitted solely for customer support, an order issue, a return, exchange, shipping claim, warranty claim, fraud review, safety concern, or legal matter are not licensed for public advertising or promotional use merely because they were submitted. STEP 22 may use, retain, and share those materials as reasonably necessary to evaluate, administer, document, investigate, defend, or enforce the transaction, request, claim, or applicable policy, consistent with the STEP 22 Privacy Policy. STEP 22 will obtain separate permission before using those materials publicly for marketing when permission is otherwise required.

PROHIBITED USES AND WEBSITE SECURITY

In addition to the specific purchasing and resale restrictions in these Terms, you may not use the Services or their content:

• For an unlawful, fraudulent, deceptive, or unauthorized purpose;
• To violate any law, regulation, ordinance, court order, or the rights of STEP 22 or another person;
• To infringe or misappropriate intellectual property, privacy, publicity, contractual, or other rights;
• To submit false or misleading information, use a false identity or email address, impersonate another person, or misrepresent the origin of a communication or transaction;
• To upload, transmit, or introduce a virus, malware, malicious code, corrupted file, or other harmful material;
• To spam, phish, pharm, pretext, scrape, crawl, spider, harvest, or collect information by unauthorized means;
• To collect, track, disclose, or misuse another person's personal information;
• To interfere with, overload, damage, disrupt, probe, test, or compromise the Website, a connected system, network, account, checkout, portal, or service;
• To bypass or circumvent security features, access controls, purchase restrictions, quantity limits, fraud-prevention measures, account restrictions, or other safeguards;
• To harass, threaten, abuse, defame, intimidate, discriminate against, or harm another person; or
• To assist or encourage another person to engage in prohibited conduct.

STEP 22 may investigate suspected violations and may preserve or disclose information when reasonably necessary to enforce these Terms, protect the Services or others, respond to legal process, or comply with law, consistent with the Privacy Policy.

MISUSE AND ABUSE OF PROMOTIONS / REWARDS PROGRAM POLICY

STEP 22 is committed to providing customers with a rewarding experience through promotions and its rewards program. Promotions and rewards must be used responsibly and for their intended purpose. Misuse or abuse is prohibited.

Examples include:

• Creating multiple accounts to exploit discounts or rewards;
• Manipulating or tampering with a promotion or rewards system;
• Attempting to obtain or redeem rewards through fraudulent means; or
• Engaging in activity that violates these Terms, program rules, or another STEP 22 policy.

If STEP 22 determines that a customer has misused or abused a promotion or rewards program, STEP 22 may take appropriate action, including canceling an order, reversing or canceling points or discounts, suspending or terminating program participation, refusing future participation, or adding the customer to a customer exclusion or do-not-sell-to list.

STEP 22 reserves the right, in its reasonable discretion, to determine whether conduct constitutes misuse or abuse and to take action consistent with these Terms and applicable law. By participating in a promotion or rewards program, you agree to the applicable program rules and these Terms.

MISUSE, ABUSE, AND BANS

STEP 22 is committed to providing a safe and respectful experience for its customers, team, partners, and community. If STEP 22 reasonably believes that you have engaged in conduct that is rude, abusive, threatening, harassing, fraudulent, unsafe, unlawful, or otherwise violates these Terms or another STEP 22 policy, STEP 22 may take action reasonably necessary to protect the business, employees, partners, customers, and Services.

Actions may include:

• Suspending or permanently closing an account;
• Canceling or refusing a current or future order;
• Blocking or limiting access to the Website, applications, communications, or other Services;
• Preventing participation in promotions, events, programs, or communities;
• Restricting, excluding, or removing a person from marketing, advertising, or remarketing audiences; and
• Referring conduct to a service provider, payment provider, carrier, platform, insurer, law-enforcement agency, regulator, or other appropriate party.

To enforce these measures, STEP 22 may use information it holds about you, including contact information, device information, order history, communications, and interactions, and may combine it with information from other lawful sources, including fraud-prevention services, public records, social media, and information provided by service providers or advertising partners. STEP 22 may act with or without prior notice when permitted by law and is not required to disclose confidential review, investigation, risk, fraud-prevention, or security methods.

ADVERTISING DISCLAIMER; ERRORS, INACCURACIES, AND OMISSIONS

Some Product descriptions, specifications, images, and other information are provided by suppliers or manufacturers. STEP 22 is not responsible for supplier or manufacturer errors that it did not create or know about, but STEP 22 may correct inaccurate information when identified.

The Website may contain typographical errors, inaccuracies, omissions, outdated information, or incorrect information concerning Product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other matters. STEP 22 may correct, change, or update information and may refuse or cancel an order affected by an error, including after an order has been submitted or a payment method has been charged. If STEP 22 cancels a paid order, it will issue the applicable refund.

All third-party trademarks and registered trademarks displayed in connection with Products are the property of their respective owners. Product photographs supplied by manufacturers remain subject to the rights of their respective owners.

WARRANTIES

For purposes of these Terms, the limited lifetime guarantee described on the STEP 22 Guarantee page is referred to as the "STEP 22 Limited Warranty."

STEP 22-manufactured Products are covered by the STEP 22 Limited Warranty against manufacturing and workmanship defects when purchased directly from step22gear.com or from an authorized STEP 22 reseller. Coverage applies to the original purchaser, requires proof of purchase, and applies only when the Product is used under normal and intended conditions.

The STEP 22 Limited Warranty is subject to the complete terms, exclusions, claim procedures, repair-or-replace process, shipping rules, cleaning requirements, Product-specific limitations, and other conditions stated on the STEP 22 Guarantee page. A Product that has been altered, modified, repaired, washed contrary to care instructions, abused, misused, or used inconsistently with its intended purpose may be ineligible for coverage. Some Products are intended for off-road use only or are subject to Product-specific limitations identified in the Product listing, instructions, or guides.

Products purchased from unauthorized sellers, marketplaces, proxy-purchasing services, or third-party fulfillment programs are not eligible for the STEP 22 Limited Warranty. STEP 22 may deny warranty service or support for a Product not purchased directly from STEP 22 or an authorized reseller, regardless of whether the Product is genuine.

For Products obtained outside authorized sales channels, STEP 22 is not responsible for Product condition, Product authenticity, shipping damage, customer service, returns, or exchanges.

A Product manufactured by a third party is covered only by the warranty, if any, provided by the original manufacturer unless STEP 22 expressly states otherwise in writing. STEP 22 may facilitate a manufacturer claim when possible but cannot override or control the manufacturer's decision.

WEBSITE AND PRODUCT INFORMATION DISCLAIMER

The Website and its content are compiled from a variety of sources and may change without notice. STEP 22 does not represent or warrant that all Website content will always be complete, current, accurate, uninterrupted, secure, or suitable for every purpose.

Except for an express written warranty made by STEP 22, including the STEP 22 Limited Warranty, and except to the extent a warranty or right cannot lawfully be disclaimed, the Website, Services, and content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any warranty applicable to a third-party Product is provided by the manufacturer or other warrantor identified with that Product, not by STEP 22, unless STEP 22 expressly states otherwise in writing.

References to and descriptions of third-party products, services, and companies are based on information provided by those third parties. Their inclusion on the Website does not by itself constitute an endorsement by STEP 22.

To the fullest extent permitted by law, STEP 22 is not liable for consequential damages arising solely from reliance on Website content or the use of third-party materials, products, or services described or linked through the Website. This paragraph does not alter the STEP 22 Limited Warranty or any liability or remedy that cannot lawfully be limited.

Unauthorized additions, deletions, or alterations to Website materials may occur despite reasonable safeguards. Before relying on material information, contact STEP 22 or the applicable manufacturer or provider to confirm it.

INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless STEP 22 and its owners, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against third-party claims, demands, actions, liabilities, judgments, losses, damages, costs, and reasonable attorneys' fees arising out of or relating to:

• Your material breach of these Terms or a policy incorporated into them;
• Your unlawful, fraudulent, or prohibited use of the Services;
• Content or materials you submit, publish, or make available through or in connection with the Services;
• Your violation of a law or another person's rights;
• Unauthorized resale, redistribution, marketplace activity, or commercial exploitation of Products; or
• Your misuse, abuse, unlawful use, or unauthorized modification of a Product when that conduct gives rise to a third-party claim.

This obligation does not apply to the extent a claim is caused by the negligence, willful misconduct, or legal violation of the party seeking indemnification, or to the extent indemnification is prohibited by applicable law.

TERMINATION AND SURVIVAL

These Terms remain effective while you use the Services and with respect to transactions and obligations governed by them. You may stop using the Services at any time.

STEP 22 may suspend or terminate an account, access to the Services, participation in a program, or the ability to place orders if STEP 22 reasonably believes that you have violated these Terms, engaged in prohibited or abusive conduct, created risk or potential legal exposure, or used the Services in a manner harmful to STEP 22 or another person.

Termination does not affect rights, remedies, payment obligations, claims, or liabilities that arose before termination. Provisions that by their nature should continue after termination will survive, including provisions concerning intellectual property, payments, unauthorized resale, customer content, disclaimers, warranties, indemnification, governing law, dispute venue, and enforcement.

SEVERABILITY

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the unenforceable portion will be severed. The remaining provisions will remain in full force and effect.

ENTIRE AGREEMENT; ORDER OF PRECEDENCE; NO WAIVER

These Terms, together with the policies and terms incorporated by reference, Product-specific written notices and instructions, checkout disclosures, and any separate written agreement signed by STEP 22, constitute the entire agreement between you and STEP 22 regarding the Services and online purchase of Products and supersede prior or contemporaneous communications on the same subject.

If a direct conflict exists, a more specific Product-specific term, checkout disclosure, program rule, or STEP 22 policy controls over a more general provision of these Terms for the subject it specifically addresses. Applicable third-party terms control the customer's relationship with that third party, while STEP 22's obligations remain governed by STEP 22's own policies and applicable law. A separately signed dealer, wholesale, vendor, licensing, or other written agreement controls to the extent it conflicts with these Terms.

STEP 22's failure to exercise or enforce a right or provision is not a waiver of that right or provision. A waiver is effective only if it is in writing and signed by an authorized representative of STEP 22.

Section headings are for convenience only and do not limit or otherwise affect the interpretation of these Terms.

GOVERNING LAW, VENUE, AND STATUTE OF LIMITATIONS

These Terms and any dispute arising from or relating to the Services, the Website, or the purchase of Products are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Subject to any non-waivable consumer right or applicable law, any action or proceeding must be brought exclusively in the state courts located in San Diego County, California, or, if federal subject-matter jurisdiction exists, in the United States District Court for the Southern District of California. You and STEP 22 consent to the personal jurisdiction and venue of those courts.

To the maximum extent permitted by law, any cause of action brought by you against STEP 22 or its affiliates must be instituted within one year after the cause of action accrues or will be deemed waived and barred. This contractual period does not apply when applicable law prohibits shortening the limitations period or requires a longer non-waivable period.

FORCE MAJEURE

STEP 22 is not responsible for a delay or failure to perform caused by an event outside its reasonable control that was not reasonably foreseeable or avoidable. Such events may include government action or omission, new or amended laws, conflict, embargo, fire, flood, severe weather, natural disaster, epidemic, pandemic, sabotage, accident, war, civil disturbance, labor dispute, carrier interruption, utility or internet outage, supply-chain disruption, or failure of a supplier or service provider.

STEP 22's obligations will be suspended for the duration and to the extent of the force-majeure event. Nothing in this section excuses payment obligations for Products or services already provided or limits rights that cannot be waived under applicable law.

CHANGES TO THESE TERMS

The most current version of these Terms will be available on this page. STEP 22 may update, change, or replace these Terms by posting a revised version and updating the "Last Updated" date.

Unless a different effective date is stated, revisions take effect when posted and apply prospectively. The terms in effect when an order is submitted generally govern that transaction, except for changes required by law, changes that are procedural and do not materially reduce customer rights, or changes separately accepted by the customer.

Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms. STEP 22 will provide additional notice of a material change when required by applicable law.
